Welcome to PROLINK (the “Platform”), operated by PROLINK CONTRACTING NETWORK INC. (“we,” “us,” or “our”). By accessing the Platform, using our AI assistant, submitting an inquiry, listing inventory, or otherwise interacting with the site, you agree to this Disclaimer & Terms of Use. If you do not agree, please do not use the Platform.

1. The Platform is a listings service, not a party to transactions

PROLINK is a neutral venue that helps builders, contractors, and suppliers discover surplus construction materials from one another. We are not the buyer, the seller, a broker, an agent, an auctioneer, or a party to any transaction between users. We do not take title to, possess, inspect, warehouse, ship, or guarantee any materials listed on the Platform.

Any purchase, sale, pickup, delivery, payment, or agreement is solely between the users involved. You are responsible for independently verifying the identity, legitimacy, licensing, and reliability of any other user, and the quantity, quality, condition, specification, safety, provenance, and legal status of any materials, before committing money or entering any agreement.

2. No warranty; listings and content are provided “as is”

Listings, photographs, descriptions, prices, ratings, availability, distances, maps, and supplier information are supplied by users or generated automatically, and may be inaccurate, incomplete, outdated, or misleading. The Platform, and all content on it, is provided on an “as is” and “as available” basis without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, or non-infringement, to the fullest extent permitted by law.

A “Verified” or “Verified Pro” badge reflects a limited, non-exhaustive status on our Platform and is not a guarantee of a supplier’s conduct, solvency, or the condition of any materials.

3. AI assistant — informational only

Our AI assistant provides automated, general information to help you navigate the Platform. Its responses may be inaccurate or incomplete and are not professional advice of any kind — including legal, financial, engineering, construction, safety, tax, or regulatory advice. Do not rely on the assistant for any decision that requires professional judgment. Always confirm important information independently and consult a qualified professional where appropriate. By using the assistant, you acknowledge that your conversation may be processed to operate and improve the service.

4. Assumption of risk

You use the Platform and transact with other users at your own risk. Construction materials can be hazardous, and surplus materials may be used, damaged, non-conforming, or subject to recalls or code requirements. You are solely responsible for inspecting materials, arranging safe transport and handling, and complying with all applicable laws, codes, and permits.

5. Limitation of liability

To the fullest extent permitted by applicable law, PROLINK CONTRACTING NETWORK INC. and its owners, officers, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or materials, arising out of or relating to your use of the Platform, any transaction with another user, any content, or any reliance on the AI assistant, even if advised of the possibility of such damages. Where liability cannot be excluded, our total aggregate liability is limited to the greater of the amount you paid us in the twelve months before the claim, or CAD $100.

6. Indemnification

You agree to indemnify and hold harmless PROLINK CONTRACTING NETWORK INC. from any claims, losses, liabilities, and expenses (including reasonable legal fees) arising from your use of the Platform, your listings or inquiries, your transactions with other users, or your breach of these terms.

7. User conduct

You agree to provide accurate information, to list only materials you have the right to sell, and not to use the Platform for any unlawful, fraudulent, or infringing purpose. We may remove content or suspend accounts at our discretion.

8. Changes

We may update these terms from time to time. Continued use of the Platform after changes take effect constitutes acceptance of the revised terms. Governing law and venue are the Province of Ontario, Canada, unless otherwise required by applicable law.
